These Terms of Service ("Terms") form a binding agreement between you (or the entity you represent) and Senddio Ltd ("Senddio", "we", "us") governing access to and use of the Senddio messaging platform, REST API, dashboard, SDKs, and related services (collectively, the "Service"). By creating an account or accessing the Service you accept these Terms in full.
1. The service
Senddio provides messaging infrastructure — a single API for sending and receiving email, SMS, WhatsApp, push notifications, Slack messages, and Telegram messages. The Service is provided "as-is" for developer and commercial use subject to the plan limits detailed at senddio.com/pricing.
2. Accounts and organisations
You must provide accurate registration information and keep it up to date. You are responsible for all activity that occurs under your account. Organisations ("workspaces") are the unit of ownership — plan limits, billing, API keys, and message logs are scoped to an organisation, not to individual users.
You must be at least 16 years old to use the Service. If you are accepting these Terms on behalf of a company you represent that you have authority to bind that company.
3. Acceptable use
You may not use the Service to:
- Send unsolicited commercial messages (spam) to recipients who have not opted in
- Transmit malware, phishing content, or deceptive messages
- Violate the acceptable-use policies of any channel provider (Twilio, Meta, Google FCM, Slack, Telegram)
- Send messages to recipients on our suppression list or to purchased/harvested email lists
- Impersonate another person, company, or domain you do not own
- Attempt to reverse-engineer, scrape, or overload the platform or its infrastructure
- Process or transmit unlawful content including CSAM, content that incites violence, or regulated material without the appropriate licences
Violations may result in immediate account suspension without refund. We reserve the right to report violations to law enforcement and relevant channel providers.
4. Email and messaging compliance
You are solely responsible for ensuring your use of the Service complies with applicable law in every jurisdiction you message into, including CAN-SPAM, CASL, GDPR, PECR, TCPA, and equivalent local laws. In particular:
- You must have a lawful basis to message every recipient
- Every commercial email must include a functioning unsubscribe mechanism and your physical address
- SMS and WhatsApp messages require prior express written consent in most jurisdictions
- You must honour opt-out requests within 10 business days
Senddio maintains a suppression list. Hard-bounced addresses and global unsubscribes are automatically added and will never be messaged again through our infrastructure, regardless of whether you remove them from your own list.
5. Plans, billing, and payment
Paid plans are billed monthly or annually in advance via Stripe. Prices are listed at senddio.com/pricingand may change with 30 days' notice to account owners. Usage-based charges (SMS, WhatsApp overage, AI credits) are calculated at the end of each billing period and charged automatically.
If payment fails we will retry three times over seven days. If payment is not recovered your account will be downgraded to the FREE plan and live messaging will be suspended until payment is resolved. We do not offer refunds for partial months except where required by law.
6. Free plan
The FREE plan is provided without charge subject to the limits published at senddio.com/pricing. We reserve the right to modify or discontinue free plan limits with 30 days' notice.
7. API keys and security
You are responsible for keeping API keys confidential. Do not commit keys to public repositories. If a key is compromised, revoke it immediately from your dashboard. Senddio stores only a SHA-256 hash of each key and cannot recover the plaintext — treat keys like passwords.
8. Data ownership
You retain all ownership of the message content and recipient data you transmit through the Service. You grant Senddio a limited licence to process that data solely to deliver the Service. We do not use your message content for training AI models or advertising.
Upon account deletion all message content is purged within 30 days. Billing records are retained for 7 years as required by financial regulations.
9. Service availability
We target 99.9% monthly uptime for the API and dashboard. Planned maintenance is announced at senddio.com/status at least 48 hours in advance. Unplanned incidents are posted on the status page as they occur. Uptime credits (if applicable under your Enterprise agreement) are the exclusive remedy for downtime.
10. Intellectual property
Senddio and its licensors own all right, title, and interest in the Service, including all software, documentation, trademarks, and trade dress. Nothing in these Terms grants you ownership of any Senddio intellectual property. Feedback you provide may be used by Senddio without restriction or compensation.
11. Confidentiality
Both parties agree to keep confidential any non-public information disclosed in connection with the Service and to use it only to the extent necessary to perform under these Terms. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.
12. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SENDDIO DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE OF HARMFUL COMPONENTS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENDDIO'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL SENDDIO BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS GOODWILL.
14. Indemnification
You will indemnify, defend, and hold harmless Senddio and its officers, directors, employees, and agents from any claim, damage, or expense (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any applicable law or third-party right.
15. Termination
You may delete your workspace at any time from Settings. Senddio may suspend or terminate your account immediately for material breach of these Terms, illegal activity, or non-payment, with written notice where practicable. Upon termination your right to use the Service ends immediately.
16. Governing law and disputes
These Terms are governed by English law. Disputes will be resolved in the courts of England and Wales, except that either party may seek injunctive relief in any jurisdiction. If you are a consumer in the EU or UK, mandatory local consumer-protection laws apply.
17. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified by email to account owners at least 14 days before they take effect. Continued use of the Service after that date constitutes acceptance of the updated Terms.
